Disse leveringsbetingelser / Forretningsbetingelser (”Leveringsbetingelserne”) fastlægger de nærmere vilkår og rammer for Adwise Media A/S (”Adwise Media”) levering af ydelser til sine kunder (”Kunden”), og indgår som en integreret del af kontrakten (”Kontrakten”) med Kunden og Adwise Media A/S samt eventuelle tillægsaftaler.
1. Aftalens indgåelse
Adwise Media og Kundens aftale er betinget af, at begge Parter har underskrevet Kontrakten. Eventuelle tillægsaftaler (”Tillægsaftaler”) mellem Parterne skal aftales skriftligt, og skal ikke påføres Kontrakten, men forudsætter en separat skriftlig aftale mellem Parterne. Alle priserne oplyses ekskl. moms.
2. Hjemmesider og webshop
Inden hjemmesiden lægges online på Kundens domæne, sendes Kunden et link til en testside, hvorefter der afsættes 10 hverdage til eventuelle rettelser. Når testsiden er godkendt af Kunden, eller den 10 hverdages korrekturperiode er udløbet, må Adwise Media iværksætte overflytning af Kundens domæne til Adwise Medias servere, medmindre Kunden af administrationsmæssige årsager el.lign. selv hoster hjemmesiden. Der må påregnes eventuelle kortvarige nedetider eller driftsforstyrrelser i en periode på op til 48 timer.
Adwise Media giver af sikkerhedsmæssige årsager ikke Kunden direkte adgang til følgende: FTP server, database, kontrolpanel, mailserver eller administrativ adgang til hjemmesiden.
Kunden opsiger selv evt. eksisterende webhotel o. lign. Årligt DK-Hostmaster gebyr betales og fornyes af Kunden selv, medmindre andet er aftalt i Kontrakten eller Tillægsaftalen.
3. Hjemmesideaftalen
Hjemmesideaftalen inkluderer følgende services: CMS-hjemmeside med mulighed for redigering af eksisterende indhold og oprettelse af op til 20 sider. Op til 10 mailkonti (indhent tilbud ved flere mailkonti). Virus- og spamfilter på mailkonti. Gratis opdateringsmulighed 2 gange årligt og fri fair-use support (op til 6 timer årligt).
4. Kundens medvirken
Kunden skal sørge for, at Adwise Media har modtaget den nødvendige information for at de(t) af Kontrakten og eventuel Tillægsaftale omfattede produkt(er) kan leveres, fx levering af kildekode, tekster og designmateriale.
Adwise Media kontakter hurtigst muligt kunden efter Kontrakten er underskrevet af begge Parter angående omfanget af nødvendig information (”Informationssamtalen”), hvilken Adwise Media skal have modtaget senest 10 dage herefter (”Kundens Leveringsfrist”), medmindre anden Leveringsfrist er skriftlig aftalt. Såfremt denne information ikke er modtaget inden udløbet af Kundens Leveringsfrist forbeholder Adwise sig ret til at fakturerer aftalen.
Uanset ovenstående har Adwise Media ret til at påbegynde arbejde på de(t) af Kontrakten og Tillægsaftale omfattede produkt(er) efter begge Parters underskrivelse af Kontrakten og Tillægsaftale.
5. Fakturering
Medmindre andet er skriftligt aftalt, sker fakturering når det af Kontrakten og Tillægsaftalen omfattede arbejde påbegyndes. Hjemmesideaftale faktureres senest 30 dage efter indgåelsen af aftalen med mindre Risiko/kreditvurderingen anbefaler andet. (Adwise Media henholder sig til Risiko/kreditvurderingen fortaget af tredjepart.)
Fakturaen forfalder pr. fakturadato, og betaling skal ske senest 10 dage efter fakturadato (”Betalingsfristen”). Ved overskridelse af Betalingsfristen kan sagen videregives til 3. part, som følger gældende dansk lovgivning omkring rykkerprocedurer og inkassoservice.
Manglende betaling er en misligholdelse af Kontrakten og Tillægsaftalen således, at Adwise Media er berettiget til at ophæve Kontrakten og Tillægsaftalen uden at Adwise Media kan gøres erstatningsansvarlig herfor. Ved sådan ophævelse vil ADWISE MEDIA i umiddelbar forlængelse af ophævelsen, uanset pkt. 6 fakturere hele den restende del af den bindende periode, samt eventuel opnået rabat i perioden fra Kontraktens indgåelse til ophævelsen vil blive efterfaktureret – rabat forstås som det prisnedslag justeringer der er aftalt på mødet med rådgiveren fra Adwise media.
Priserne i aftalen er faste i 12 måneder fra ikrafttrædelsesdatoen. Efter 12 måneder kan ADWISE MEDIA A/S årligt hæve enhedsprisen, svarende til stigningen i det danske forbrugerprisindeks. Dog vil justeringen være på mindst 3%, og prisen afrundes til nærmeste 10 kroner pr. produkt. Beregningen af forbrugerprisindekset tager udgangspunkt i det indeks, der er gældende på ikrafttrædelsesdatoen.
ADWISE MEDIA A/S har ret til at opkræve gebyrer for ydelser som support og services, herunder omstrukturering af hjemmesiden.
Disse vilkår er en del af aftalen mellem de to parter og skal overholdes i løbet af samarbejdsperioden.
Hvis kunden flytter eller ændrer DNS indstillingerne så den hjemmesideløsning ADWISE MEDIA A/S arbejder på ikke længere er online, kan ADWISE MEDIA A/S vælge at anse dette som en opsigelse fra kundens side, da kunden derved vanskeliggøre det arbejde ADWISE MEDIA A/S jf. marketing strategien skal levere.
Bemærk, at der også pålægges et fakturagebyr på DKK 149,-, medmindre kunden er tilmeldt Leverandørservice.
6. Abonnement/hosting
Hvis Kunden har indgået en Kontrakt eller en Tillægsaftale vedrørende et af Adwise Media’ abonnementsprodukter (”Abonnementsaftale”), forlænges Abonnementsaftalen, efter udløbet af de 12 til 72 måneder, automatisk med 12 til 72 måneder ad gangen, medmindre den er opsagt i overensstemmelse med pkt. 12.
Abonnementsaftaler faktureres forud for 12 måneder ad gangen, med mindre andet skriftligt er aftalt. Inden udløbet af en 12-måneders periode vil den næste 12-måneders periode blive faktureret.
7. Søgemaskineoptimering
Der kan ikke garanteres bestemte placeringer på Google ved indgåelse af aftale omkring søgemaskineoptimering (SEO).
8. Firmasider på sociale medier
Kunden alene er ansvarlig for at behandle enhver form for henvendelse på og via firmasiderne.
Kunden ejer selv firmasiden, men apps, og anden specialprogrammering lavet af Adwise Media lukkes ved udløbsdato for abonnementsaftale, såfremt aftalen opsiges af Kunden.
Kunden er selv ansvarlig for at indberette oplysninger til Skat vedr. spilafgift.
9. Hemmeligholdelse
Medmindre anden aftale indgås herom, er Adwise Media berettiget til vederlagsfrit at benytte de af Adwise Medias udviklet produkter omfattet af Kontrakten og evt. Tillægsaftale i forbindelse med salgs- og markedsføringsmateriale.
10. Ansvar
Adwise Media er i intet tilfælde ansvarlig for Kundens datatab, indirekte tab og følgeskader. Adwise Media fraskriver sig desuden ethvert ansvar i situationer, der må betegnes som force majeure lignende, fx strejke, brand, naturkatastrofer, afbrydelse og/eller svigt i energiforsyning og/eller kommunikationssystemer.
Adwise Media fraskriver sig ethvert ansvar for eventuel negativ omtale på Kundens profil(er) på sociale medier.
Adwise Media fraskriver sig ethvert ansvar, såfremt Kundens website skulle falde i placeringer på Google, grundet ændringer i algoritmen for rangering i Googles søgeresultater, eller hvis Kundens websites rangering falder grundet straf fra Google.
Kunden alene er ansvarlig for at domænenavnet og webhotellets indhold ikke krænker 3. parts varemærker og/eller rettigheder og Kunden alene er ansvarlig for rigtigheden af SEO-tekster, som publiceres på kundens hjemmeside.
Kunden alene er ansvarlig for at kontrollere at det er de korrekte kontaktoplysninger, der fremgår på Kundens hjemmeside og profiler på sociale medier, samt at funktionaliteten af eventuelle kontaktformularer er som ønsket.
Adwise Media forbeholder sig ret til driftsforstyrrelser i kortere eller længere perioder i forbindelse med vedligeholdelse og opdatering af IT-systemer. Adwise Media kan ikke holdes ansvarlig for driftstop, tab af data o. lign. hos 3. partsleverandører (herunder webhotel).
Adwise Media må uden at bære ansvar for tab eller skade, redelegere Kundens domæne, ved indgåelse af aftale om produktion af hjemmeside. I forbindelse med redelegering af et domænenavn, fraskriver Adwise Media sig ansvar for tab eller skade. Adwise Media yder ikke support eller bærer ansvar i forbindelse med opståede problemer på Kundens egen mailserver ved redelegering af Kundens domænenavn.
Hvis ikke andet oplyses, hostes mailserver af Adwise Media. Gamle e-mails overføres ikke til Adwise Media’ servere. Såfremt dette ønskes indhentes tilbud på dette. Hvis mailkonti hostes af Kunden, skal Adwise Media oplyses om nødvendige DNS-oplysninger hertil.
11. GDPR
Oplysningspligt Om Data Indsamling mht. GDPR – I forbindelse med aftaler indgået med Adwise Media A/S udbeder vi os navn, virksomhedsnavn, virksomheds adresse, CVR-nummer, telefonnummer og e-mailadresse. Det kan også være nødvendigt at udbede informationer som DK-Hostmaster login/adgangskode, e-mail login, samt andre konti med anden persondata, i forbindelse med udførelse af indgået aftale.
Disse informationer bruges udelukkende til behandling af ordren og informationerne gemmes over aftalens løbetid. Som registreret kunde har du ret til at få indsigt, gøre indsigelse mod behandling, rette og slette den data, som vi opbevarer om dig samt få data udleveret i digital form.
Kundens brug af Adwise Media A/S services sker i enhver henseende på kundens eget ansvar. I forhold til GDPR indestår Adwise Media A/S for behandling af kundens data og sikkerhed som beskrevet i databehandleraftale og Privatlivspolitik. Det er kundens ansvar at informere Adwise Media A/S om kundens evt. behandling af personfølsomme data hvorefter Adwise Media A/S vil fremsende tillæg til Databehandleraftalen omhandlende personfølsomme data.
Adwise Media A/S har udarbejdet tiltag for at sikre at kundens online løsning lever op til de nye datalovgivningskrav, men da ejerskabet af hjemmeside samt online løsning tilhører kunden, er Adwise Media A/S i sidste ende ikke ansvarlig for kundens evt. overtrædelser af GDPR persondatalovgivningen.
Disse forretningsbetingelser samt indeholdte ansvarsfraskrivelser er gældende uanset om Adwise Media A/S måtte have handlet uagtsomt.
12. Opsigelse
Abonnementsaftalen er bindende fra 12 til 72 måneder (”Den bindende periode”) afhængig af den af Kunden valgte abonnementslængde.
Hvis ikke Abonnementsaftalen opsiges med minimum 3 måneders varsel til udløbet af 12 til 72 måneder forlænges den automatisk med 12 til 72 måneder ad gangen, jf. pkt. 6.
Opsigelse skal ske via opsigelsesformularen på https://adwise.dk/opsigelsesformular/. Opsigelser foretaget via andet medie eller platform tilknyttet Adwise Media accepteres ikke. Eventuelle forudbetalinger refunderes ikke.
Hvis aftalen opsiges eller ophæves, vil ADWISE MEDIA i umiddelbar forlængelse af opsigelsen/ophævelsen, uanset pkt. 6 fakturere hele den resterende del af den bindende periode.
Ved tidlig opsigelse af aftalerne, vil indgående rabatter blive opgjort, og efter fakturaers med 10 dage på betalingen.
Kunden kan få flytte sin hjemmeside efter samarbejdet med Adwise Media. Prisen for en flytning er 3995,- plus moms for hjemmesider, og kan kun udføres af Adwise Media A/S selv.
Hvis kunden flytter eller ændrer DNS indstillingerne så den hjemmesideløsning ADWISE MEDIA A/S arbejder på ikke længere er online, kan dette ses som en opsigelse fra kundens side, da kunden ved derved vanskeliggøre det arbejde ADWISE MEDIA A/S jf. marketing strategien skal levere.
13. Rettigheder
ADWISE MEDIA har ejendomsret og immaterialret til resultatet af Kontrakten og eventuelle tillægsaftaler, herunder tekster, billeder, video, domæner og hjemmesidedesigns. Kunden opnår brugsret hertil, når betaling, jf. pkt. 5, er sket. Efter udløbet af aftaleperioden, opnår kunden først ret til resultatet af kontrakten, når der er sket betaling for den fulde aftaleperiode.
Har ADWISE MEDIA benyttet grafik fra 3. parts leverandører (fx Shutterstock.com), mister Kunden brugsretten dertil, ved ophør af aftalen.
14. Ændring af Kontrakt, Tillægsaftale og/eller Leveringsbetingelserne
Adwise Media forbeholder sig ret til årligt at regulere de i Kontrakten og Tillægsaftalen oplyste priser i henhold til udviklingen i nettoprisindekset.
Adwise Media kan med 1 måneds varsel ændre Kontrakten, Tillægsaftalen og Leveringsbetingelserne via e-mail eller brev til den e-mailadresse eller postadresse der er oplyst i Kontrakten. Kunden kan i den situation skriftligt opsige Kontrakten og Tillægsaftalen til ikrafttrædelsen af de nye aftalevilkår, hvilket dog ikke gælder i tilfælde af prisforhøjelser. Kundens opsigelse skal være afgivet senest 14 dage før ikrafttrædelsen af de nye aftalevilkår. Ændringer af for Kunden ensidig fordelagtig karakter kan gennemføres uden forudgående varsel.
Uanset det foregående kan Adwise Media ophøre med at tilbyde webhotel med tre måneders varsel til udgangen af en måned, og må overdrage den tekniske drift af hosting til 3. part, såfremt dette sker uden væsentlige forringelser for Kunden.
15. Forsinkelse af betaling
Ved enhver forsinkelse af betaling, forbeholder ADWISE MEDIA sig ret til at lukke for adgang til enhver ydelse i henhold til enhver aftale kunden måtte have med ADWISE MEDIA, herunder webhotel, hjemmeside, markedsføringsydelser og e-mail administrationsmodul, indtil ADWISE MEDIAs tilgodehavende er komplet betalt.
Hvis kunden ikke betaler det forfaldne beløb på forfaldsdagen, påløber der (uden varsel) 2% renter pr. påbegyndt måned fra forfaldsdagen i henhold til lov om renter ved for sen indbetaling, samt et rykkergebyr på DKK 100,- pr. rykker. Der pålægges desuden et kompensationsgebyr på DKK 310,- ved forsinket betaling.
16. Lovvalg og værneting
Enhver tvist som måtte udspringe af Kontrakten, Tillægsaftalen og Leveringsbetingelserne mellem Parterne, skal anlægges ved Byretten i København. Tvisten skal afgøres efter dansk ret.
17. Brug af eksterne samarbejdspartnere
18. Sammenlægningsaftaler og kontraktforlængelser
Ved indgåelse af en sammenlægningsaftale eller forlængelse af en eksisterende aftale, accepterer kunden, at tidligere aftaler opgøres med henblik på overførsel resterende af timer til den nye aftale.
Hvis kunden har fået leveret flere timer i henhold til en af de tidligere aftaleperioder end der var betalt for på tidspunktet for sammenlægningen eller forlængelsen, vil de timer, der endnu ikke er betalt for, blive modregnet i de timer der skal leveres i henhold til den nye aftale. Har kunden derimod fået leveret færre timer end der er betalt for, vil de manglende timer blive lagt oveni den nye aftale.
Timerne vil blive opgjort på baggrund af de timer, der er blevet leveret på tidspunktet, hvor kunden har foretaget sin sidste betaling i henhold til de tidligere aftaler.
These delivery terms / Terms and Conditions ("Terms of Delivery") set out the detailed terms and conditions for the provision of services by Adwise Media A/S ("Adwise Media") to its customers ("Customers") and form an integral part of the contract ("Contract") with the Customer and Adwise Media A/S as well as any additional agreements.
1. Conclusion of the Agreement
Adwise Media and the Customer's agreement is subject to both Parties signing the Contract. Any additional agreements ("Additional Agreements") between the Parties shall be agreed upon in writing and shall not be appended to the Contract but require a separate written agreement between the Parties. All prices are exclusive of VAT.
2. Websites and Webshops
Before the website is put online on the Customer's domain, the Customer will be sent a link to a test page, after which 10 business days will be allocated for any corrections. Once the test page is approved by the Customer, or the 10-day correction period has expired, Adwise Media may initiate the transfer of the Customer's domain to Adwise Media's servers, unless the Customer hosts the website themselves for administrative reasons, etc. Short-term downtimes or disruptions may occur for up to 48 hours.
For security reasons, Adwise Media does not provide the Customer with direct access to the following: FTP server, database, control panel, mail server, or administrative access to the website.
The Customer is responsible for terminating any existing web hosting or similar services. The annual DK-Hostmaster fee is to be paid and renewed by the Customer, unless otherwise agreed in the Contract or Additional Agreement.
3. Website Agreement
The website agreement includes the following services: CMS website with the ability to edit existing content and create up to 20 pages. Up to 10 email accounts (request a quote for more email accounts). Virus and spam filter on email accounts. Free update option 2 times annually and free fair-use support (up to 6 hours annually).
4. Customer's Cooperation
The Customer must ensure that Adwise Media has received the necessary information for the product(s) covered by the Contract and any Additional Agreement to be delivered, such as delivery of source code, texts, and design material.
Adwise Media will contact the Customer as soon as possible after the Contract has been signed by both Parties regarding the scope of necessary information ("Information Meeting"), which Adwise Media must have received no later than 10 days thereafter ("Customer's Delivery Deadline"), unless another Delivery Deadline is agreed upon in writing. If this information is not received by the expiry of the Customer's Delivery Deadline, Adwise reserves the right to invoice the agreement.
Regardless of the above, Adwise Media is entitled to commence work on the product(s) covered by the Contract and Additional Agreement after both Parties have signed the Contract and Additional Agreement.
5. Invoicing
Unless otherwise agreed in writing, invoicing occurs when the work covered by the Contract and Additional Agreement commences. The website agreement is invoiced no later than 30 days after the agreement is concluded unless the Risk/Credit Assessment recommends otherwise. (Adwise Media adheres to the Risk/Credit Assessment conducted by a third party.)
The invoice is due on the invoice date, and payment must be made no later than 10 days after the invoice date ("Payment Deadline"). In the event of exceeding the Payment Deadline, the matter may be referred to a third party, in accordance with applicable Danish legislation regarding reminder procedures and debt collection services.
Failure to pay constitutes a breach of the Contract and Additional Agreement, allowing Adwise Media to terminate the Contract and Additional Agreement without Adwise Media being liable for damages. Upon such termination, ADWISE MEDIA will immediately invoice the entire remaining part of the binding period, as well as any discounts obtained during the period from the Contract's conclusion to the termination, will be invoiced retroactively – discounts are understood as the price adjustments agreed upon at the meeting with the advisor from Adwise Media.
The prices in the agreement are fixed for 12 months from the effective date. After 12 months, ADWISE MEDIA A/S may annually increase the unit price, corresponding to the increase in the Danish Consumer Price Index. However, the adjustment will be at least 3%, and the price will be rounded to the nearest 10 kroner per product. The calculation of the Consumer Price Index is based on the index applicable on the effective date.
ADWISE MEDIA A/S is entitled to charge fees for services such as support and services, including restructuring of the website.
These terms are part of the agreement between the two parties and must be complied with during the collaboration period.
If the customer moves or changes the DNS settings so that the website solution ADWISE MEDIA A/S is working on is no longer online, this will be seen as termination by the customer, as the customer thereby complicates the work ADWISE MEDIA A/S is to deliver according to the marketing strategy.
Please note that an invoice fee of DKK 149 will be charged unless the customer is enrolled in the Direct Debit Service.
6. Subscription/Hosting
If the Customer has entered into a Contract or Additional Agreement regarding one of Adwise Media's subscription products ("Subscription Agreement"), the Subscription Agreement will be automatically extended for 12 to 72 months after the expiration of the initial 12 to 72 months, unless terminated in accordance with paragraph 12.
Subscription agreements are billed in advance for 12 months at a time unless otherwise agreed in writing. Before the expiry of a 12-month period, the next 12-month period will be invoiced.
7. Search Engine Optimization
Specific placements on Google cannot be guaranteed upon entering into an agreement on search engine optimization (SEO).
8. Company Pages on Social Media
The Customer alone is responsible for handling any inquiries on and via the company pages.
The Customer owns the company page, but apps, and other special programming done by Adwise Media will be shut down at the expiration date of the subscription agreement if terminated by the Customer.
The Customer is responsible for reporting information to the Tax Authority regarding gaming tax.
9. Confidentiality
Unless otherwise agreed, Adwise Media is entitled to use free of charge the products developed by Adwise Media covered by the Contract and any Additional Agreement in connection with sales and marketing materials.
10. Liability
Adwise Media is in no event liable for the Customer's data loss, indirect loss, and consequential damages. Adwise Media also disclaims any liability in situations that may be termed as force majeure, such as strikes, fire, natural disasters, interruption, and/or failure in energy supply and/or communication systems.
Adwise Media disclaims any responsibility for any negative reviews on the Customer's profile(s) on social media.
Adwise Media disclaims any liability if the Customer's website falls in Google rankings due to changes in the algorithm for ranking in Google search results or if the Customer's website ranking drops due to Google penalty.
The Customer alone is responsible for ensuring that the domain name and the content of the web hosting do not infringe on any third-party trademarks and/or rights, and the Customer alone is responsible for the accuracy of the SEO texts published on the customer's website.
The Customer alone is responsible for verifying that the correct contact information is displayed on the Customer's website and profiles on social media, as well as ensuring that the functionality of any contact forms is as desired.
Adwise Media reserves the right to disruptions in operations for shorter or longer periods in connection with maintenance and updating of IT systems. Adwise Media cannot be held liable for downtime, data loss, etc., at third-party providers (including web hosting).
Adwise Media may, without assuming responsibility for loss or damage, redelegate the Customer's domain upon entering into an agreement for the production of a website. In connection with the redelegation of a domain name, Adwise Media disclaims responsibility for loss or damage. Adwise Media does not provide support or assume responsibility for any problems arising on the Customer's own mail server during the redelegation of the Customer's domain name.
Unless otherwise stated, the mail server is hosted by Adwise Media. Old emails are not transferred to Adwise Media's servers. If this is desired, a quotation for this service can be provided. If mail accounts are hosted by the Customer, Adwise Media must be informed of the necessary DNS information.
11. GDPR
Information Duty Regarding Data Collection under GDPR – In connection with agreements entered into with Adwise Media A/S, we request name, company name, company address, VAT number, telephone number, and email address. It may also be necessary to request information such as DK-Hostmaster login/access, email login, and other accounts with personal data, in connection with the execution of the agreed contract.
This information is used solely for processing the order, and the information is stored throughout the duration of the agreement. As a registered customer, you have the right to access, object to processing, correct and delete the data we hold about you, as well as receive the data in digital form.
The Customer's use of Adwise Media A/S services is entirely at the customer's own risk. With regard to GDPR, Adwise Media A/S is responsible for the processing of customer data and security as described in the data processing agreement and Privacy Policy. It is the customer's responsibility to inform Adwise Media A/S of any processing of sensitive personal data by the customer, after which Adwise Media A/S will provide an addendum to the Data Processing Agreement regarding sensitive personal data.
Adwise Media A/S has implemented measures to ensure that the customer's online solution complies with the new data legislation requirements, but since ownership of the website and online solution belongs to the customer, Adwise Media A/S is ultimately not responsible for any breaches of GDPR data protection legislation by the customer.
These terms and conditions and the disclaimers contained therein apply regardless of whether Adwise Media A/S has acted negligently.
12. Termination
The subscription agreement is binding from 12 to 72 months ("The Binding Period"), depending on the length of the subscription chosen by the Customer.
If the subscription agreement is not terminated with a minimum of 3 months' notice before the expiration of 12 to 72 months, it will automatically be extended by 12 to 72 months at a time, cf. Clause 6.
Termination must be made through the termination form at https://adwise.dk/opsigelgesformular/. Terminations made through other media or platforms associated with Adwise Media are not accepted. Any advance payments are not refunded.
If the agreement is terminated or canceled, ADWISE MEDIA will invoice the entire remaining part of the binding period immediately following the termination/cancellation, regardless of clause 6.
In the event of early termination of the agreements, incoming discounts will be calculated, and invoices issued with a 10-day payment term.
The Customer can have their website moved after the collaboration with Adwise Media. The price for a transfer is 3995, - plus VAT for websites and can only be carried out by Adwise Media A/S themselves.
If the customer moves or changes the DNS settings so that the website solution ADWISE MEDIA A/S is working on is no longer online, this may be considered a termination by the customer, as the customer thereby complicates the work ADWISE MEDIA A/S must deliver according to the marketing strategy.
13. Rights
ADWISE MEDIA retains ownership and intellectual property rights to the outcome of the Contract and any additional agreements, including texts, images, video, domains, and website designs. The Customer obtains the right to use this upon payment, cf. Clause 5. After the expiration of the agreement period, the customer first acquires the right to the outcome of the contract when payment for the full agreement period has been made.
If ADWISE MEDIA has used graphics from third-party providers (e.g., Shutterstock.com), the Customer loses the right to use them upon termination of the agreement.
14. Amendment of Contract, Supplementary Agreement and/or Delivery Terms
Adwise Media reserves the right to annually adjust the prices stated in the Contract and Supplementary Agreement in accordance with the development of the net price index.
Adwise Media may, with 1 month's notice, amend the Contract, Supplementary Agreement, and Delivery Terms via email or letter to the email address or postal address provided in the Contract. In that situation, the Customer may terminate the Contract and Supplementary Agreement in writing before the new terms come into effect, which does not apply in case of price increases. The Customer's termination must be submitted no later than 14 days before the new terms come into effect. Changes of a unilaterally beneficial nature for the Customer can be implemented without prior notice.
Regardless of the foregoing, Adwise Media may cease to offer web hosting with three months' notice at the end of a month and may transfer the technical operation of hosting to a third party if this is done without significant deterioration for the Customer.
15. Delay of Payment
In the event of any delay in payment, ADWISE MEDIA reserves the right to suspend access to any service under any agreement the customer may have with ADWISE MEDIA, including web hosting, website, marketing services, and email administration module, until ADWISE MEDIA's claim has been fully paid.
If the customer fails to pay the outstanding amount by the due date, interest will accrue (without notice) at a rate of 2% per commenced month from the due date in accordance with the Danish Interest Act for late payment. Additionally, a reminder fee of DKK 100 per reminder will be charged. A compensation fee of DKK 310 will also be applied for delayed payment.
16. Choice of Law and Jurisdiction
Any dispute arising out of the Contract, Supplementary Agreement, and Delivery Terms between the Parties shall be brought before the City Court of Copenhagen. The dispute shall be settled in accordance with Danish law.
17. Use of External Partners
Adwise Media may at any time use external partners for the delivery of the agreed hours to the customer. When external partners are used for deliveries, we cannot measure the actual hours consumed. Therefore, we will estimate the consumed time based on our internal estimates of how long our various services take. These are the same estimates we use when we analyze for our customers. 18. Merger Agreements and Contract Extensions
By entering into a merger agreement or extending an existing agreement, the customer agrees that previous agreements are settled for the purpose of transferring the remaining hours to the new agreement.
If the customer has received more hours in accordance with one of the previous agreement periods than paid for at the time of the merger or extension, the hours not yet paid for will be offset against the hours to be delivered in accordance with the new agreement. However, if the customer has received fewer hours than paid for, the missing hours will be added to the new agreement.
The hours will be calculated based on the hours delivered at the time the customer has made their last payment under the previous agreements.
